1. Agreement to Terms
By accessing or using SyncID ("we", "our", or "us"), including our website, software, mobile applications, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and SyncID. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
SyncID is an AI-powered real estate operating system designed for property management agencies in Australia and New Zealand. Our Service includes, but is not limited to:
- Property and contact management
- Trust accounting and financial management
- AI-powered automation and communication tools
- Inspection scheduling and management
- Reporting and analytics dashboards
- Third-party integrations with real estate platforms and accounting software
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration and Security
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate, current, and complete
- Maintain the security of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
3.2 Account Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By creating an account, you represent and warrant that you meet these requirements.
3.3 Account Suspension and Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms or engage in any fraudulent, abusive, or illegal activity.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service to transmit any malicious code, viruses, or harmful materials
- Attempt to gain unauthorized access to the Service or any related systems
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated systems (bots, scrapers, etc.) to access the Service without permission
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Collect or harvest information about other users without their consent
- Use the Service for any competitive or benchmarking purposes without our written consent
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove, alter, or obscure any proprietary notices or labels on the Service
5. User Content and Data
5.1 Your Content
You retain ownership of all data, information, and content that you upload, input, or otherwise provide to the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display Your Content solely for the purpose of providing and improving the Service.
5.2 Your Responsibilities
You are solely responsible for Your Content and warrant that:
- You have the right to provide Your Content to us
- Your Content does not violate any laws or infringe any third-party rights
- Your Content is accurate and complete
- You have obtained all necessary consents and permissions for Your Content
5.3 Data Backup
While we implement backup and recovery procedures, you are responsible for maintaining your own backups of Your Content. We are not liable for any loss or corruption of Your Content.
6. Intellectual Property
The Service, including its original content, features, functionality, design, and software, is owned by SyncID and protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service, except as expressly permitted by law or with our written permission.
7. Payment Terms
7.1 Subscription Fees
Access to certain features of the Service requires payment of subscription fees. You agree to pay all fees associated with your subscription plan as described on our pricing page. Fees are billed in advance on a monthly or annual basis, as selected by you.
7.2 Payment Processing
Payments are processed by third-party payment processors. By providing payment information, you authorize us to charge your payment method for all fees due. You are responsible for maintaining valid payment information.
7.3 Refunds and Cancellations
Subscription fees are generally non-refundable. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.
7.4 Price Changes
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to your next billing cycle.
8. Third-Party Services and Integrations
The Service may integrate with third-party services, including real estate platforms, accounting software, and other tools. Your use of third-party services is subject to their respective terms of service and privacy policies.
We are not responsible for the availability, accuracy, or reliability of third-party services. Any issues with third-party integrations should be directed to the respective third-party provider.
9. Disclaimers and Limitations of Liability
9.1 Service Availability
We strive to provide reliable and uninterrupted service, but we do not guarantee that the Service will be available at all times or free from errors, defects, or interruptions. The Service is provided "as is" and "as available" without warranties of any kind.
9.2 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
9.4 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law or other applicable consumer protection laws that cannot be excluded, restricted, or modified.
10. Indemnification
You agree to indemnify, defend, and hold harmless SyncID and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.
11. Termination
You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms.
Upon termination:
- Your right to access and use the Service will immediately cease
- We may delete Your Content after a reasonable retention period
- All provisions of these Terms that by their nature should survive termination will survive
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through:
- Good faith negotiations between the parties
- Mediation, if negotiations are unsuccessful
- Binding arbitration or litigation in the courts of Australia, as applicable
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending you an email notification (for significant changes)
- Displaying a notice in the Service
Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SyncID regarding the Service.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.
