These Terms explain how SyncID CRM can be used by your business.
- SyncID CRM is provided on a subscription basis

- The platform must be used lawfully and responsibly
1. Definitions
Company means Syncid IT Services located at:
9th Floor AppleOne-Equicom Tower
Mindanao Avenue
Cebu City, 6000 Cebu
Customer means the business or individual using the Service.
User means any authorised employee, contractor, or representative accessing the platform.
Service means the SyncID CRM platform and related services.
Customer Data means all information stored in the Service by the Customer or its Users.
2. Agreement to Terms
By accessing or using the Service, the Customer agrees to these Terms and confirms that it has authority to bind its organisation.
3. Licence to Use
SyncID grants the Customer a non-exclusive, non-transferable licence to access and use the platform during an active subscription.
Customers must not copy, modify, reverse engineer, redistribute, or otherwise misuse the platform.
4. Intellectual Property
All intellectual property rights in the Service, including the SyncID CRM platform, software, system architecture, user interface design, documentation, trademarks, and associated technology, remain the exclusive property of SyncID or its licensors.
Nothing in these Terms transfers ownership of any intellectual property rights to the Customer.
Customers are granted a limited, non-exclusive, non-transferable licence to access and use the Service during an active subscription in accordance with these Terms.
Customers must not copy, modify, reproduce, distribute, reverse engineer, decompile, or otherwise attempt to derive the source code of the Service except where permitted by law.
5. User Accounts
Access to the platform is provided on a per-user basis.
Customers are responsible for managing authorised users and protecting login credentials.
6. Free Trial
SyncID may offer trial access to the platform from time to time. Certain features may be limited during trial periods.
7. Subscription Services
Following any trial period, access to the Service is provided through a paid subscription. Subscription fees and billing terms will be communicated separately.
8. Billing, Cancellation and Refunds
Subscriptions to the SyncID CRM platform are billed in advance based on the subscription plan selected by the Customer.
Unless otherwise agreed in writing, subscription fees are non-refundable.
Cancelling a subscription will prevent future billing but does not entitle the Customer to a refund for any unused portion of the current billing period.
Access to the Service will continue until the end of the current billing period, after which the Customer's access may be terminated in accordance with these Terms.
Failure to use the Service does not relieve the Customer of its payment obligations.
SyncID may change subscription pricing from time to time. Existing customers will be notified in advance before any pricing changes take effect.
9. Customer Data
Customers retain ownership of their data.
SyncID may host, store, process, and transmit Customer Data solely for the purpose of providing and operating the Service.
10. Customer Instructions and Data Processing Roles
The SyncID CRM platform enables customers to store and manage information relating to their own clients, contacts, tenants, property owners, buyers, applicants, and other individuals.
In relation to any personal information stored within the Service:
- the Customer acts as the data controller or equivalent role under applicable privacy or data protection laws
- SyncID acts as a data processor or service provider processing information on behalf of the Customer
SyncID processes Customer Data only in accordance with the Customer's instructions as implemented through the use of the platform and as otherwise required to provide and maintain the Service.
The Customer is responsible for ensuring that it has the lawful right to collect, store, and process any personal information entered into the platform.
SyncID does not determine the purposes for which Customer Data is collected or used by the Customer.
11. Data Export and Retention
Customers may request an export of their data when terminating the Service.
Customer Data may be retained for up to 60 days after termination before being permanently deleted.
12. Customer Backup Responsibility
While SyncID maintains system backups designed to support the reliability of the Service, Customers are responsible for maintaining their own copies or backups of any critical data stored within the platform.
SyncID will not be responsible for any loss of data resulting from customer actions, third-party integrations, or events beyond SyncID's reasonable control.
13. Customer Responsibility for Data
Customers are responsible for ensuring that all data entered into the system is accurate, lawful, and compliant with applicable regulations.
This includes property listings, client records, tenant information, inspection data, and communications.
SyncID does not independently verify information entered into the platform.
SyncID is not responsible for losses or disputes arising from inaccurate or incomplete information entered by users.
No Reliance on System Data
The SyncID CRM platform stores and organises information provided by customers and their users.
SyncID does not independently verify the accuracy, completeness, or reliability of any data stored within the Service.
Customers acknowledge that business decisions, communications, and transactions carried out using information stored within the platform remain the sole responsibility of the customer.
The Customer agrees that it will not rely on the Service as the sole source of information for making commercial, operational, or regulatory decisions.
SyncID will not be liable for any loss, damage, or missed opportunity arising from reliance on information stored within the platform.
14. Data Migration and Import
From time to time, the Customer may request assistance with importing or migrating data into the SyncID CRM platform from external systems or files.
While SyncID may provide tools or assistance to facilitate data import, the Customer remains responsible for reviewing and verifying the accuracy, completeness, and integrity of any data that is migrated into the platform.
Data originating from third-party systems, spreadsheets, or external databases may contain formatting differences, inconsistencies, or errors that are outside the control of SyncID.
SyncID does not guarantee that data imported from third-party systems will be transferred without alteration, omission, or formatting changes.
The Customer is responsible for validating all migrated data following any import or migration process.
To the maximum extent permitted by law, SyncID will not be liable for any loss, damage, or business disruption arising from data migration activities or from inaccuracies in data originating from third-party systems.
SyncID recommends that customers retain a copy of their original data export prior to initiating any migration process.
15. Regulatory Compliance
The Customer is solely responsible for ensuring that its use of the Service complies with all applicable laws and regulations relevant to its business activities.
This includes, without limitation, laws relating to:
- real estate licensing
- property advertising
- tenancy and leasing regulations
- privacy and data protection
- consumer protection
SyncID provides technology tools only and does not provide legal, regulatory, AML verification services or compliance advice.
Customers remain responsible for ensuring that information entered into the platform complies with applicable laws and industry regulations.
Professional Advice Disclaimer
The SyncID CRM platform provides software tools designed to assist real estate professionals in managing customer relationships and operational workflows.
The Service does not provide legal, financial, compliance, or professional advice.
Any information generated by or stored within the platform is provided for informational purposes only.
Customers are responsible for obtaining appropriate professional advice and ensuring compliance with applicable laws, regulations, and industry standards.
16. Third-Party Services
The platform may integrate with third-party services.
SyncID is not responsible for the functionality or availability of those services.
17. Acceptable Use
Customers must not use the Service to violate laws, upload harmful content, attempt unauthorised access, or interfere with the operation of the platform.
18. Suspension of Service
SyncID may suspend or restrict access to the Service where reasonably necessary to:
- investigate suspected misuse of the platform
- protect the security or integrity of the Service
- prevent harm to other users
- comply with legal or regulatory obligations
- address non-payment of subscription fees
Where reasonably possible, SyncID will provide notice to the Customer before suspension occurs.
19. Service Availability
While SyncID aims to provide reliable service, the platform is provided on an "as-is" and "as-available" basis.
SyncID does not guarantee uninterrupted or error-free operation.
20. Support
Support is provided during standard business hours in Victoria, Australia, excluding public holidays.
21. Confidentiality
Both parties agree to keep confidential any non-public information received during the use of the Service.
22. Limitation of Liability
To the maximum extent permitted by law, SyncID will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of commissions, loss of goodwill, or loss of data, arising out of or in connection with the use of the Service.
To the maximum extent permitted by law, the total aggregate liability of SyncID arising out of or in connection with the Service or these Terms will not exceed the total subscription fees paid by the Customer to SyncID during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
23. Customer Indemnity
The Customer agrees to indemnify and hold harmless SyncID, its officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:
- the Customer's use of the Service
- any data uploaded or stored by the Customer or its users
- the Customer's breach of these Terms
- the Customer's violation of applicable laws or regulations
24. Termination
Either party may terminate the Service in accordance with subscription terms.
Upon termination, access to the Service will cease.
25. Force Majeure
SyncID will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond its reasonable control.
These events may include, but are not limited to:
- internet or telecommunications outages
- cloud infrastructure failures
- cyber incidents
- natural disasters
- government actions
- labour disputes
26. Changes to Terms
SyncID may update these Terms from time to time.
If material changes are made, SyncID may notify customers through the platform or via email.
Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
27. Governing Law
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the exclusive jurisdiction of the courts of Victoria.
